Counsel- Corporate Securities and Assistant Secretary
Responsibilities
Experienced corporate attorney focused on securities law reporting and compliance, corporate governance, corporate record keeping, and other corporate legal matters. Reports directly to the Sr. Director- Corporate Securities and Assistant Corporate Secretary and works closely with other members of the Corporate Secretary’s Office legal team. Energized by working in a dynamic environment with broad responsibility.
+ Provide legal counsel on securities law compliance and SEC reporting, including in connection with the preparation of current and periodic reports, proxy statements, Section 16 filings, and other securities filings
+ Advise members of senior management and business functions on corporate governance, securities law and NYSE compliance matters
+ Advise investor relations, corporate and product communications, and corporate financial reporting functions on disclosure and securities matters, including in connection with press releases, investor presentations and management presentations
+ Assist with various equity and debt financings and provide legal support to the Treasury function
+ Provide legal support to the Lilly Board of Directors and Board Committees on corporate governance matters
+ Partner with global cross-functional internal teams on various projects that present securities and/or corporate governance issues
+ Counsel on internal corporate governance and subsidiary matters, including parent and subsidiary corporate records, creation and dissolution of corporate entities, and corporate authority questions
Basic Qualifications
+ Juris Doctorate from accredited law school
+ Candidate must be admitted to the bar in at least one of the fifty states; Candidate must be eligible to be admitted to the bar in Indiana under Indiana Admissions Rules.
+ Minimum of 5 years of experience practicing securities and corporate governance law in a large law firm or corporate in-house department
Additional Skills/Preferences
+ Prior pharmaceutical industry experience preferred
+ Demonstrated leadership and effectiveness in working with senior leadership
+ Highly motivated and collaborative partner with strong interpersonal skills and the ability to work effectively with team members, other lawyers, and members of management across all levels of the company
+ Innovative- proactively identifies opportunities, and looks for new, creative solutions
+ Ability to influence and lead boldly in a dynamic environment
+ Good judgment and a meticulous level of attention to detail
+ Excellent written and verbal communication skills with an ability to influence others
+ Demonstrated ability to appropriately handle highly confidential information
+ Demonstrated commitment to expand knowledge and adapt to a changing environment
+ Proven ability to coach and develop people leading to strong team performance
